Creator Agreement
IMPORTANT: This Agreement governs Creator status, monetization, content, subscriptions, and payouts on Go Viral. It is intended to operate together with the Terms of Service, Privacy Policy, Community Guidelines, Acceptable Use Policy, DMCA/Copyright Policy, and Payout Policy. The in-app acceptance record should store the Creator account ID, document identifier, version, and timestamp of acceptance.
1. INTRODUCTION AND ACCEPTANCE
This Creator Agreement ("Agreement") is a legally binding agreement between you ("Creator," "you," or "your") and GoViral Inc., the operating entity of the Go Viral platform, under parent Unicorn Technologies (collectively, "Go Viral," "we," "us," or "our"). The exact legal entity name and registered address shown in App Store Connect and the Platform legal center will control if updated before launch.
You begin as a Fan. Creator status is an upgraded account state. Before Creator activation, you must complete the Creator onboarding sequence described in this Agreement, including 18+ confirmation, affirmative acceptance of the then-current Creator Agreement, the $8.99 monthly Creator subscription through Apple In-App Purchase as validated by RevenueCat, and Stripe Connect Express onboarding for payout/KYC status.
By affirmatively accepting this Agreement, activating Creator status, uploading Content, using monetization tools, or receiving Creator Earnings, you agree to this Agreement and the applicable Platform Policies. Acceptance is not pre-checked. If you decline, Creator activation does not complete.
Go Viral may require renewed affirmative acceptance when a material new version of this Agreement is designated for re-acceptance. The Platform may retain an auditable record of the version accepted and the acceptance timestamp.
2. DEFINITIONS
Content: photos, videos, audio embedded in uploaded media, live streams, text, images, messages, replays, and other material a Creator submits or makes available through the Platform.
Creator Account: the monetization-enabled status associated with an underlying Fan account after successful Creator onboarding.
Creator Earnings: amounts credited to a Creator under the locked channel-specific revenue shares in Section 6, subject to settlement, reversal, fraud, compliance, minimum-payout, and payout-eligibility rules.
Fan: a registered user who may view Content, purchase Tokens, unlock eligible Content, tip Creators, join Go Viral Live, and use messaging.
Token: a closed-loop digital credit purchased by Fans through Apple In-App Purchase for use within Go Viral. Tokens have no cash-out value to Fans. For Creator accounting only, the fixed Creator cash-out rate is 1 Token = $0.02 USD (50 Tokens = $1.00 USD).
Platform Commission: the percentage of eligible Creator-facing monetization retained by Go Viral under Section 6.
Creator Subscription: the $8.99 per month auto-renewable subscription required to maintain active Creator monetization tools.
Money Monday: the biweekly Monday payout cycle described in Section 6.7.
Vault / Purchases: the Fan-side area used to access eligible Content previously unlocked with Tokens, subject to account deletion, legal removal, purchase reversal, and other terms in the Fan Agreement and this Agreement.
Heat: the Creator profile metric representing total engagement credits across the Creator’s posts.
Pulse: the Fan profile engagement counter defined by the Platform’s current product rules; Pulse is not a Creator payout rate and does not alter the revenue shares in this Agreement.
3. ELIGIBILITY, IDENTITY, AND CREATOR ONBOARDING
3.1 18+ Requirement
Go Viral is 18+ for both Fans and Creators. You must be at least 18 years old to create or maintain a Creator Account. You represent that your date of birth and all onboarding information are accurate and current.
3.2 Required Creator Onboarding Sequence
- Have an active Fan account in good standing.
- Complete the Creator profile/basic eligibility information and 18+ confirmation.
- Affirmatively accept the current Creator Agreement and review the linked Privacy Policy and applicable Platform Policies.
- Activate the $8.99/month Creator Subscription through Apple In-App Purchase; RevenueCat/Apple is the source of truth for subscription entitlement.
- Complete Stripe Connect Express hosted onboarding for identity/KYC, tax, and bank/payout information; Stripe is the source of truth for payout/KYC status.
- Wait for the Platform to receive the necessary subscription and Stripe status confirmations before monetization and payout tools become active.
Go Viral is not intended to collect or store bank account numbers, Social Security numbers, tax identification documents, or identity scans in its own application database when those items are collected through Stripe’s hosted onboarding. Go Viral may store minimum orchestration data such as a Stripe account identifier, payout-enabled status, agreement version, and status flags reasonably necessary to operate the Platform.
3.3 Independent States
Creator profile eligibility, Agreement acceptance, Creator Subscription status, and Stripe/KYC payout status are separate states. A lapse or verification issue should disable only the functions governed by that state. Subscription lapse does not by itself delete existing Content.
3.4 No Exclusivity / No Payment Circumvention
Go Viral does not require content exclusivity. You may publish elsewhere. You may not use Go Viral to redirect Fans to another service or off-platform payment method for the purpose of avoiding Go Viral’s locked Platform Commission or circumventing the Platform’s payment rules.
4. CREATOR SUBSCRIPTION - $8.99/MONTH
4.1 Apple In-App Purchase
On iOS, the Creator Subscription is an auto-renewable Apple In-App Purchase validated through RevenueCat. Stripe Connect is used for Creator payouts and KYC; Stripe is not used to charge the $8.99 Creator Subscription inside the iOS app.
4.2 Renewal and Cancellation
The Creator Subscription renews automatically each month until canceled through the subscriber’s Apple subscription settings. The Platform will clearly identify the subscription price, renewal period, included Creator access, and how to manage or cancel the subscription before purchase. Apple billing, price-change consent, cancellation, and refund rules apply to purchases processed by Apple.
4.3 Lapse / Restore
If the Creator Subscription lapses, Creator monetization tools are suspended, but existing Content is not automatically deleted. If the subscription is restored and all other required Creator states remain valid, eligible Creator tools may be restored without requiring creation of a new account.
4.4 Refunds and Proration
Go Viral does not independently promise prorated refunds for an active Apple subscription period. Refund requests for Apple-billed subscriptions are handled under Apple’s applicable refund process and any non-waivable rights under applicable law.
5. CONTENT OWNERSHIP, LICENSES, COPYRIGHT, AND SAFETY
5.1 Creator Ownership
You retain ownership of the copyrights and other intellectual property rights you lawfully hold in Content you upload, subject to the licenses and Platform enforcement rights in this Agreement.
5.2 Rights Confirmation at Upload
Each upload requires you to confirm that you own or control all rights necessary for the audio, visuals, likenesses, trademarks, text, and other material included in the upload. This confirmation may be stored with your account reference, timestamp, IP address, and other audit metadata. Go Viral does not represent that this upload confirmation constitutes U.S. Copyright Office registration.
5.3 License to Go Viral
You grant Go Viral a non-exclusive, worldwide, royalty-free, sublicensable license, only as reasonably necessary to operate, secure, moderate, market, and deliver the Platform, to host, reproduce, transmit, display, format, cache, watermark, protect, distribute, and make your Content available to eligible users; to create technical derivatives such as thumbnails, previews, transcodes, and replays; and to use your display name, profile image, and Content excerpts for in-Platform discovery and Go Viral promotional materials consistent with the Privacy Policy and applicable law.
5.4 License to Fans / Purchased Entitlements
When a Fan unlocks eligible Content with Tokens, the Fan receives the personal, non-exclusive, non-transferable, non-sublicensable in-Platform access rights described in the Fan Agreement. Removing an individual post from public discovery does not, by itself, cancel an already completed Fan entitlement when the Platform is permitted to continue honoring that entitlement.
5.5 Creator Deactivation vs. Full Account Deletion
Canceling the Creator Subscription, deactivating Creator monetization, or removing an individual post is different from deleting the entire Go Viral account. For ordinary Creator deactivation or post removal, previously completed Fan entitlements may remain accessible through the applicable Vault/Purchases rules. If you request full deletion of your Go Viral account, Go Viral will process deletion of your account and associated personal data and user-generated Content in accordance with applicable law and App Store account-deletion requirements. If deletion or a legal takedown makes previously purchased Content unavailable, affected Fan entitlements will be handled under the Fan Agreement and applicable Apple/platform remediation or refund rules.
5.6 Prohibited and Restricted Content
You may not upload, stream, solicit, or distribute sexually explicit content or nudity; pornography; prostitution or escort-service promotion; child sexual abuse material; content involving minors in sexual contexts; non-consensual sexual material; credible threats; unlawful discrimination or harassment; content encouraging illegal activity; malicious code; fraud; impersonation; or material that infringes intellectual-property, privacy, publicity, or other rights. The Community Guidelines and Acceptable Use Policy may state additional restrictions.
5.7 Moderation, Reporting, and Blocking
Go Viral may use automated systems, human review, reporting queues, and other moderation tools to filter, restrict, pause, investigate, or remove objectionable or noncompliant Content. Users must have access to reporting and blocking/unblocking tools as implemented by the Platform. You agree not to evade moderation, blocking, age, or access controls.
5.8 No In-App Music Library
Go Viral does not provide an in-app music library for Creator uploads under the MVP. Any music or audio embedded in uploaded media is your responsibility, and you must hold the necessary rights or authorization.
6. LOCKED CREATOR ECONOMICS
The economic terms in this Section are locked for the MVP and are intended to match Go Viral Master Spec 4.5. No Creator-facing monetization channel pays more than 80% to the Creator during the MVP.
6.1 Scale of Fame - Content Unlocks
| Tier | Engagement Range | Fan Unlock | Token Cost | Creator / Platform |
|---|---|---|---|---|
| 1 | 0-499 | FREE | 0 | 0% / 0% |
| 2 | 500-2,999 | $0.99 | 50 | 80% / 20% |
| 3 | 3,000-29,999 | $2.99 | 150 | 80% / 20% |
| 4 | 30,000-99,999 | $5.99 | 300 | 80% / 20% |
| 5 | 100,000-499,999 | $9.99 | 500 | 80% / 20% |
| 6 | 500,000-799,999 | $14.99 | 750 | 75% / 25% |
| 7 | 800,000-1,000,000 | $20.99 | 1,050 | 75% / 25% |
| 8 | 1,000,000+ | $20.99 | 1,050 | 75% / 25% |
6.2 Tips - 80% Creator / 20% Platform
Tips from Fans to Creators and permitted Creator-to-Creator tips split 80% to the receiving Creator and 20% to Go Viral. The split applies when the tip transaction is committed to the ledger. No surface may state or imply that Creators receive 85%, 100%, or any share above the locked 80% tip share.
6.3 Messaging
Fans receive the first 500 messaging words under the Platform’s free messaging rule. After that allowance is exhausted, the cost is 100 Tokens per 100 words. Go Viral retains 100% of messaging Token revenue. Creators receive no messaging revenue. A tip sent inside a messaging thread remains a Tip and follows the 80/20 split in Section 6.2.
6.4 Go Viral Live
Go Viral Live is priced by the Platform at 50 Tokens per whole minute. Billing occurs in whole minutes only; no partial-minute proration applies. The system deducts 50 Tokens at each minute mark. Creators do not set the Live rate. Eligible Live revenue splits 50% to the Creator and 50% to Go Viral. Ended Live replays auto-post to the Creator feed and thereafter follow the ordinary Scale of Fame content-unlock rules.
6.5 Token Cash-Out Rate and Ledger
For Creator accounting and cash-out only, 1 Token = $0.02 USD and 50 Tokens = $1.00 USD. This is the fixed Creator cash-out rate in the MVP. It is not a promise that Fans purchased Tokens at $0.02 each, and Tokens have no Fan withdrawal right. Creator payout liability arises only when Tokens are actually spent through an eligible Creator-earning channel. Intermediate ledger calculations preserve fractional precision; at payout-batch conversion, the final aggregate USD payout is rounded to the nearest cent using standard half-up rounding.
6.6 Apple Commission / Internal Token Movement
Apple’s commission and other store-side settlement deductions occur when applicable Fan or Creator purchases are processed. Internal post-purchase Token movements are ledger entries. Go Viral does not separately deduct Apple’s Fan token-pack commission from the Creator’s locked 80%, 75%, or 50% contractual share.
6.7 Money Monday Payout Schedule
- Payouts are processed on a biweekly Monday cycle called Money Monday.
- Payout requests close at 11:59 PM Eastern Time on the Monday one week before the paying Money Monday. Requests after the deadline roll to the following cycle.
- Minimum payout is 2,500 payout-eligible Tokens ($50.00). Amounts below the minimum remain carried forward.
- Founding Creators are Creators whose Creator Account is activated from Launch Day 0 through Launch Day 90, inclusive. A Creator activated on Day 90 remains a Founding Creator.
- Each Founding Creator's first-payout waiting period is 75-90 days measured from that Creator's first recorded earnings, not from Platform launch. First-payout eligibility remains subject to settled funds, the minimum threshold, Stripe payout eligibility, the applicable request deadline, fraud/compliance review, and human approval.
- Creators activated beginning Launch Day 91 use the standard first-payout rule: eligibility begins 30 days after first recorded earnings, subject to all other eligibility requirements, with payment on the applicable Money Monday.
- After a Creator completes the first eligible payout under either rule, that Creator enters the standard biweekly Money Monday cycle. No manual conversion of the Creator's cohort is required.
- Every payout batch requires human administrator approval. No automated system may bypass the required human approval step.
- Payouts use Stripe Connect to the Creator's linked payout account. Bank arrival is typically 1-2 business days after processing but can vary by Stripe, banking network, geography, compliance review, or other factors.
6.8 Earned vs. Payout-Eligible
A Creator may have earned ledger value that is not yet payout-eligible. Only amounts satisfying the timing, minimum, settled-funds, account-verification, fraud/compliance, and other locked payout rules may enter a Money Monday batch. The Platform may represent payout status as PENDING -> CLEARED -> AVAILABLE FOR MONEY MONDAY, or an inherited equivalent mapped one-to-one to those meanings.
6.9 Settlement & Reversal Reserve
Go Viral maintains a starting internal Settlement & Reversal Reserve equal to 2% of applicable consumer Token revenue for settlement adjustments, reversals, chargebacks, failed-delivery remediation, and fraud loss. The reserve is funded from Platform-side funds and does not reduce the Creator's locked 80%, 75%, or 50% share. Reserve is FUNDED when the underlying consumer revenue settles/clears; UTILIZED only for an actual qualifying loss; and any unused amount is RELEASED to Platform-available cash 90 days after the underlying revenue reaches settled/cleared status, tracked on a rolling settlement-cohort basis. The reserve is Platform-level restricted cash and is not Creator-owned funds.
6.10 Chargebacks, Refunds, Reversals, and Failed Delivery
Where a transaction is reversed, refunded, fraudulent, unauthorized, or a paid entitlement fails to deliver, Go Viral may reverse or adjust the corresponding ledger entries and Creator Earnings to the extent directly attributable to that transaction and permitted by law and the Platform Policies. Holds or deductions must be supported by the Platform’s ledger/transaction record and may not be used to reduce the locked Creator percentage on otherwise valid transactions.
6.11 Taxes
You are responsible for your own tax obligations arising from Creator Earnings. Stripe or Go Viral may collect tax information and may provide or facilitate tax reporting forms when required by applicable law and the applicable payment/tax reporting arrangement. Go Viral may hold payouts where legally required tax or identity information is incomplete.
6.12 Unspent Fan Tokens / Breakage
Fan Tokens that are never spent do not create Creator payout liability. Token retirement or breakage is governed by the Fan Agreement, Terms of Service, and applicable law.
7. CONTENT PROTECTION AND COPYRIGHT
Go Viral may employ screenshot/screen-record detection, blackout behavior where technically available, access controls, and dynamic watermarking on protected Content. Watermarks may include a Fan-specific identifier such as a wallet/account identifier for leak tracing. No technical control can guarantee that digital Content will never be copied.
You agree to cooperate in copyright enforcement, including providing rights information when reasonably requested and supporting valid DMCA/takedown procedures. Go Viral’s separate DMCA/Copyright Policy controls formal notices and counter-notices.
8. FAN INTERACTIONS AND CREATOR CONDUCT
You are not required to respond to every message or tip. If you expressly offer a paid deliverable, custom interaction, or other monetized promise, you must provide what was represented or the transaction may be subject to remediation, refund, reversal, or account action.
You may not harvest Fan personal data, use Fan information outside authorized Platform purposes, harass or threaten users, engage in token farming or artificial engagement, manipulate Scale of Fame, impersonate others, upload malware or spam, evade user blocks, or share account credentials in a manner that creates unauthorized account operation.
9. DISCOVERY, HEAT, PULSE, AND NO EARNINGS GUARANTEE
Go Viral may rank, recommend, or limit discovery of Content using engagement signals and Platform algorithms. Heat is the Creator-facing aggregate engagement-credit metric. Pulse is the Fan engagement counter. Neither metric guarantees visibility or earnings.
Go Viral does not guarantee a minimum number of views, Fans, unlocks, tips, live viewers, discovery placement, or Creator Earnings.
10. ACCOUNT STATUS, SUSPENSION, DEACTIVATION, AND DELETION
10.1 Subscription Cancellation / Creator Deactivation
Canceling the Creator Subscription or allowing it to lapse suspends monetization tools when the paid entitlement ends but does not, by itself, delete the underlying Fan account or existing Content. Existing Content remains subject to Platform moderation and access rules.
10.2 Suspension / Enforcement
Go Viral may restrict Creator tools, remove Content, hold payout eligibility, or suspend Creator status for material violations of this Agreement or Platform Policies, unlawful Content, fraud, rights violations, payment manipulation, safety threats, or required legal/compliance action. Enforcement should be proportionate to the affected state where reasonably possible.
10.3 Earnings on Suspension or Termination
Creator Earnings already validly earned are not automatically forfeited merely because Creator status ends. Go Viral may withhold, reverse, or offset amounts only to the extent supported by transaction-level reversals, fraud, chargebacks, failed-delivery remediation, legal process, sanctions/compliance obligations, or other rights stated in this Agreement. Remaining payout-eligible amounts are handled under the Money Monday rules.
10.4 Full Go Viral Account Deletion
The Platform must provide an in-app method to initiate permanent deletion of the entire Go Viral account. The deletion flow may require identity confirmation and deliberate confirmation steps. Full deletion removes the account and associated personal data and user-generated Content except data that Go Viral is legally required or permitted to retain for a limited purpose. If you used Sign in with Apple, the Platform may revoke the associated Apple authorization token as part of deletion.
Deleting the Go Viral account does not necessarily cancel an Apple auto-renewable subscription by itself. Before deletion, the app should make subscription-management consequences clear and provide a practical path to manage or cancel the subscription. Where immediate account deletion conflicts with the remaining subscription period, account deletion remains available and billing is handled under Apple’s subscription rules.
11. PLATFORM ROLE, AVAILABILITY, AND WARRANTIES
Go Viral provides the technology, commerce, moderation, and payout infrastructure through which Creators and Fans interact. Go Viral is not the author of Creator Content and does not guarantee the quality, legality, availability, or commercial success of Creator Content.
To the maximum extent permitted by applicable law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Nothing in this Agreement excludes rights or remedies that cannot lawfully be excluded.
12. INDEMNIFICATION AND LIMITATION PRINCIPLES
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Go Viral and its parent, affiliates, officers, directors, employees, and agents from third-party claims arising from your Content, your violation of law or third-party rights, your material breach of this Agreement, or your unauthorized use of the Platform. This obligation does not require you to indemnify Go Viral for Go Viral’s own fraud, willful misconduct, or liability that cannot legally be shifted to you.
13. DISPUTE RESOLUTION AND GOVERNING LAW
Before filing a formal claim, the parties agree to attempt good-faith informal resolution for 30 days by contacting Hello@unicorntechventures.com. Unless prohibited by applicable law, unresolved disputes arising from this Agreement will be resolved by binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida, with an individual-action and jury-trial waiver to the extent enforceable. Either party may seek eligible relief in small claims court and may seek temporary or emergency injunctive relief where legally available. Florida law governs without regard to conflict-of-law rules, subject to non-waivable consumer or employment laws that may apply.
14. CREATOR STATUS / INDEPENDENT CONTRACTOR
Creator status does not create employment, agency, partnership, joint venture, franchise, fiduciary, or exclusive-representation status between you and Go Viral. You control whether and what lawful Content you create, subject to Platform rules. You are responsible for your own business expenses, taxes, insurance, permits, and legal compliance except where applicable law requires otherwise.
15. AMENDMENTS, VERSIONING, AND RE-ACCEPTANCE
Go Viral may update this Agreement for legal, security, operational, or product reasons. Material changes will be communicated through reasonable notice such as in-app notice or email. When Go Viral designates a new version as requiring renewed consent, Creator monetization may be gated until you affirmatively accept the new version. The Platform should preserve the version identifier and acceptance timestamp associated with each required acceptance event.
Economic changes to the locked MVP commission structure, token cash-out rate, Creator Subscription, or Money Monday rules must be synchronized with the controlling product specification, Platform UI, Terms of Service, Payout Policy, and other affected agreements before they are implemented.
16. MISCELLANEOUS
16.1 Entire Agreement
This Agreement, together with the incorporated Platform Policies, governs your use of Go Viral in Creator status. If there is a conflict concerning Creator economics, Creator payout obligations, or Creator Content rights, this Agreement controls unless the applicable law, Apple’s mandatory billing rules, or a later expressly controlling written Platform policy requires otherwise.
16.2 Severability and No Waiver
If any provision is held unenforceable, the remaining provisions remain effective to the maximum extent permitted by law. Failure to enforce one provision is not a waiver of future enforcement.
16.3 Assignment
You may not assign this Agreement without Go Viral’s written consent. Go Viral may assign this Agreement in connection with a merger, reorganization, financing, sale of business or assets, or transfer to an affiliated entity, subject to applicable law.
